📄 Terms and Conditions of Use – SFERICA

1. Acceptance of Terms

By accessing or using the SFERICA platform (available at sfericatrading.com), you agree to be bound by these Terms and Conditions of Use ("Terms"). If you do not agree to these Terms, you may not access or use the service. These Terms apply to all users of the site and platform, including—but not limited to—visitors, registered users, subscribers, and affiliates.

SFERICA reserves the right to update or modify these Terms at any time without prior notice. Continued use of the service after any such changes constitutes your acceptance of the new Terms.

2. Description of the Service

SFERICA is a Software-as-a-Service (SaaS) platform that provides a connector between TradingView and third-party brokers, enabling users to automate trading strategies created in Pine Script. The service includes access to a library of pre-built strategies, automation tools, analytics, and customizable settings based on subscription plans.

SFERICA does not provide financial advice or trading signals. All trading decisions made through the platform are the sole responsibility of the user. The service is intended for personal use only and must not be used to operate or manage client accounts.

3. License of Use

SFERICA grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the platform for your own personal and non-commercial purposes, subject to your compliance with these Terms.

  • Modify, reverse engineer, decompile, or disassemble any part of the platform.
  • Resell, sublicense, or distribute the platform or any part of its services.
  • Use the service for high-frequency or arbitrage trading unless explicitly allowed.
  • Violate any applicable laws, regulations, or third-party agreements through your use of SFERICA.

All rights not expressly granted herein are reserved by SFERICA.

4. User Account

To access certain features of the service, you may be required to create a user account and provide accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You agree to notify SFERICA immediately of any unauthorized use of your account or any other breach of security. SFERICA will not be liable for any loss or damage arising from your failure to safeguard your account credentials.

5. Usage Restrictions

You agree to use SFERICA in accordance with applicable laws and regulations. The following activities are strictly prohibited:

  • Using the platform for any unlawful purpose.
  • Engaging in fraudulent or manipulative behavior using the service.
  • Accessing or attempting to access other users’ accounts or data.
  • Circumventing or attempting to circumvent security or access restrictions.

Violations of these restrictions may result in the suspension or termination of your account without notice and may lead to legal action.

6. Permitted Use and Limitations

SFERICA is intended solely for personal and individual use. The platform must not be used for client trading, managed accounts, or any form of third-party account management unless otherwise approved by SFERICA in writing.

Automated usage is permitted, and the use of demo accounts is allowed. However, any abuse of system resources, unauthorized integrations, or excessive API usage that disrupts the platform's performance may lead to account limitations or termination.

The platform must not be used in any way that could harm the system, other users, or the integrity of any connected broker or third-party service.

7. Automation, Demo Accounts, and Connectors

SFERICA allows automated trading via connectors between TradingView and compatible brokers. Automation is permitted within the limits defined by your subscription plan and the system's capacity.

The use of demo accounts is allowed and encouraged for testing purposes. However, excessive or abusive use of the platform on demo accounts that creates unnecessary load or disrupts service for other users may lead to restrictions.

Users are fully responsible for all actions taken by their automations, including trades placed through third-party broker APIs. SFERICA is not liable for missed executions, slippage, or losses resulting from automation delays, broker errors, or TradingView limitations.

8. Subscription Plans

SFERICA is offered through paid subscription plans, which may include monthly or annual billing cycles. Each plan includes specific usage limits, features, and support levels, as described on our pricing page.

By subscribing, you authorize us to charge your chosen payment method on a recurring basis until you cancel. You can manage your subscription at any time from your account dashboard.

We reserve the right to change pricing or plan features with prior notice. If you do not agree with such changes, you may cancel your subscription before the next billing cycle.

9. Free Trial

SFERICA offers a one-time free trial to new users. The trial period may vary in duration and gives users access to selected features of the platform.

At the end of the trial period, the subscription will automatically convert to a paid plan unless canceled. You can cancel at any time before the end of the trial to avoid being charged.

Users are not entitled to multiple free trials. Any attempt to circumvent this policy may result in suspension of access.

10. Refund Policy

SFERICA offers a 7-day satisfaction guarantee on your first subscription payment. If, for any reason, you are not satisfied with the service, you may request a full refund by contacting us at support@sfericatrading.com within 7 days of activation.

No refunds will be issued for:

  • Subscription renewals after the first 7 days.
  • Upgrades or plan changes made after the initial 7-day period.
  • Partial usage or unused time.

We reserve the right to deny refund requests that do not meet these criteria.

11. Disclaimer of Warranties and Limitation of Liability

SFERICA is provided "as is" and "as available," without warranties of any kind, either express or implied. We do not warrant that the service will be uninterrupted, error-free, secure, or meet your specific requirements.

To the fullest extent permitted by law, SFERICA and its operators shall not be liable for any direct, indirect, incidental, or consequential damages arising out of or related to:

  • Your use or inability to use the platform.
  • Errors or delays in automation or order execution.
  • Data loss or system outages.
  • Issues arising from third-party broker platforms or APIs.

You agree to use the platform at your own risk.

12. Financial Disclaimer

SFERICA does not provide financial advice, investment recommendations, or trading signals. The platform is a tool for automation and strategy execution and should not be interpreted as a solicitation or promotion of any specific financial instrument or trade.

Past performance of any strategy or setup available through SFERICA does not guarantee future results. All trading involves risk, and you are solely responsible for evaluating your own financial decisions.

Use of the platform does not create any fiduciary relationship between you and SFERICA.

13. Intellectual Property

All content, features, tools, software, logos, and trademarks on the SFERICA platform are the exclusive property of SFERICA or its licensors and are protected by international copyright, trademark, and intellectual property laws.

You may not copy, reproduce, distribute, create derivative works from, publicly display, or exploit any part of the platform without prior written consent from SFERICA.

Use of the platform does not grant you any ownership rights. Any unauthorized use of SFERICA’s intellectual property may result in legal action.

14. Modifications to the Terms

SFERICA reserves the right to update or modify these Terms at any time. When changes are made, we will update the "Last Updated" date at the top of this page.

We encourage you to review these Terms regularly. Continued use of the service after any changes constitutes your acceptance of the new Terms. If you do not agree with the modifications, you must stop using the service.

15. Affiliate and Partnership Program

SFERICA operates two referral programs:

  • Public Referral Program ("Invite a Friend") – When you invite a paying user to SFERICA, you receive one free month on your active subscription once their first payment is completed.
  • Partnership Program – Approved partners may earn 20% lifetime commissions on referred paying users. Entry to this program is subject to SFERICA’s review and approval. Partners must comply with promotional guidelines and may not misrepresent the platform or engage in spammy practices.

We reserve the right to revoke access to either program in case of abuse or violations.

16. Prohibited Use

You agree not to use the SFERICA platform in any way that:

  • Violates any applicable laws, regulations, or third-party agreements.
  • Infringes upon the intellectual property rights or privacy of others.
  • Attempts to gain unauthorized access to systems, accounts, or data.
  • Interferes with or disrupts the performance, integrity, or security of the service.
  • Involves unauthorized or abusive use of automation, scripts, or bots.
  • Engages in high-frequency trading or arbitrage strategies unless explicitly allowed.
  • Harasses, abuses, or threatens any SFERICA team member or user.

Violations of this section may result in immediate account termination and legal action, at the sole discretion of SFERICA.

17. Indemnification

You agree to indemnify, defend, and hold harmless SFERICA, its owners, employees, partners, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debts, and expenses (including attorneys’ fees) arising from:

  • Your use of or access to the platform.
  • Your violation of any term of these Terms.
  • Your violation of any third-party rights, including privacy or intellectual property.
  • Any claim that your use of the service caused damage to a third party.

This indemnity obligation will survive the termination or suspension of your account and your use of the platform.

18. Termination of Service

SFERICA reserves the right to suspend or terminate your access to the platform at any time, with or without notice, for any reason, including but not limited to:

  • Breach of these Terms.
  • Abuse of the service or staff.
  • Fraudulent or suspicious activity.
  • Legal or regulatory requirements.

Upon termination, your right to use the platform will immediately cease, and any active automation will be deactivated. You are not entitled to any refund for the remaining period of your subscription unless otherwise required by law.

19. Force Majeure

SFERICA shall not be held liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to:

  • Internet or infrastructure failures.
  • Power outages.
  • War, riots, or civil disturbances.
  • Natural disasters.
  • Epidemics or pandemics.
  • Governmental actions or legal changes.

Such events shall suspend performance obligations for their duration.

20. Entire Agreement & Severability

These Terms constitute the entire agreement between you and SFERICA regarding the use of the platform and supersede any prior agreements or understandings.

If any provision of these Terms is found to be invalid or unenforceable by a court of law, that provision shall be modified or removed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

21. Beta Features Disclaimer

SFERICA may, from time to time, offer access to experimental or beta features. These features are provided "as is" without warranty and may be modified, restricted, or removed at any time.

You acknowledge and agree that beta features may not be fully tested or functional, and SFERICA disclaims all liability related to their use.

22. Third-Party Services Disclaimer

SFERICA integrates with third-party platforms such as TradingView, brokers, APIs, and data providers. These services are not controlled by SFERICA, and we make no guarantees regarding their availability, reliability, or performance.

You acknowledge that your use of third-party services is subject to their respective terms and conditions, and SFERICA is not liable for any losses or issues caused by such platforms.

23. Export Control & Sanctions Compliance

You agree to comply with all applicable export control and economic sanctions laws and regulations. You may not use or access SFERICA if:

  • You are located in a country or region subject to comprehensive sanctions by the United States or other applicable jurisdictions (e.g., Iran, North Korea).
  • You are on any government-issued restricted or denied party list.

By using the platform, you represent and warrant that you are not subject to such restrictions.

24. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

You agree that any dispute arising out of or relating to these Terms or your use of the SFERICA platform shall be subject to the exclusive jurisdiction of the courts located in Wyoming, USA. By using the platform, you consent to the personal jurisdiction and venue of these courts.
